Trademark Assignment in Russia

Moving a mark to a new owner: for example from a Russian distributor back to the Chinese manufacturer, or between companies of one group. I draft the assignment agreement and register the transfer at Rospatent. Without registration the right does not pass (Russian Civil Code, Art. 1232(6)).

Cost and timing

CNY 1,500 for the work plus a CNY 1,200 official fee. Rospatent review takes up to 68 business days.

When a trademark assignment is needed

  • A distributor or partner registered your brand in their own name. We move the mark to your company under an agreement.
  • Buying or selling a brand on the Russian market.
  • Group restructuring: moving a mark to a parent or subsidiary.

How the assignment works

  1. I check the mark in the State Trademark Register

Owner, expiry date, licenses and pledges.

  2. I draft the agreement

To fit your deal, with a translation where needed. The parties sign it.

  3. I prepare the application and pay the fee

An application for state registration of the assignment; I pay the fee on your behalf.

  4. I file and track the review

I answer Rospatent's queries. After registration the new owner is entered in the State Trademark Register.

    up to 68 business days

What to settle in the agreement

  • The agreement must be in writing (Russian Civil Code, Art. 1490(1)).
  • A paid agreement must state the price or how it is set, otherwise it is treated as not concluded (Art. 1234(3)).
  • The right can be assigned for all or part of the goods and services (Art. 1488(1)).
  • Assignment is not allowed if it may mislead consumers about the goods, their producer or the place of production (Art. 1488(2)).
  • Licenses granted earlier stay in force when the owner changes (Art. 1235(7)).

Rospatent's official fees are set in rubles. They are converted to yuan here at the Bank of Russia's official rate of October 11, 2026 (RUB 12.67 per CNY 1) and rounded; the exact amount is stated in the invoice.

Questions about trademark assignment

Do I have to file the agreement itself with Rospatent?

Not necessarily. Instead of the full agreement you can file a notice of the assignment signed by the parties, or a notarized extract of the agreement. That way the commercial terms stay private (Russian Civil Code, Art. 1232(3)).

Does the agreement need a Russian translation?

Documents in a foreign language are filed with Rospatent together with a Russian translation. It is easier to draft a bilingual agreement from the start.

What is the fee if the agreement covers several marks?

CNY 1,200 for the first mark and CNY 1,050 for each further mark in the same agreement.

The distributor refuses to hand over the mark. What can I do?

That is a dispute. The options include an objection to the registration before the Chamber for Patent Disputes (Rospatent's appeal board) or a court claim; the time limits and grounds depend on the circumstances. I assess the situation first and then propose a course of action.

How do I pay from China?

Against an invoice in Chinese yuan (CNY) by international transfer. The service contract is in Russian or English, and I pay the Rospatent fee on your behalf.
